1. Acceptance of Terms

Welcome to TixNav. These Terms of Service ("Terms") govern your access to and use of the TixNav website, mobile applications, and services (collectively, the "Platform"). By accessing or using TixNav, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our Platform. If you are using TixNav on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

TixNav is a ticketing platform that enables:

  • Event Attendees: To discover events, purchase tickets, and access digital tickets for entry.
  • Event Organizers: To create events, sell tickets, manage guest lists, process check-ins, and handle door sales.

TixNav acts as an intermediary platform connecting event organizers and attendees. We are not the organizer of events listed on our Platform unless explicitly stated.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update this information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any other reason at our discretion with or without notice.

4. Ticket Purchases

4.1 Purchase Agreement

When you purchase a ticket through TixNav, you enter into a contract with the event organizer. TixNav facilitates this transaction but is not a party to the contract between you and the organizer.

4.2 Pricing and Fees

All prices are displayed in US dollars unless otherwise indicated. Prices include applicable service fees at checkout. The total price shown at checkout is the final amount you will be charged.

4.3 Payment Processing

Payments are processed securely through Stripe. By making a purchase, you authorize us to charge your payment method for the total amount. You represent that you are authorized to use the payment method provided.

4.4 Ticket Delivery

Digital tickets are delivered via email immediately upon successful payment. Tickets include a unique, PIN-protected QR code for entry. You are responsible for safeguarding your ticket and PIN.

4.5 Ticket Security

Each ticket has a unique QR code protected by a personal PIN. Do not share your QR code or PIN with others. Screenshots of QR codes without the PIN are invalid. TixNav is not responsible for unauthorized use of shared tickets.

5. Refunds and Cancellations

5.1 Refund Policy

Refund policies are set by individual event organizers. TixNav does not guarantee refunds. Please review the event's refund policy before purchasing.

5.2 Event Cancellation

If an event is cancelled by the organizer, refunds will be processed according to the organizer's policy. TixNav will facilitate refunds but is not responsible for the organizer's refund decisions.

5.3 Refund Requests

To request a refund, contact the event organizer through the Platform. Approved refunds will be credited to the original payment method within 5-10 business days. Service fees may be non-refundable.

5.4 Chargebacks

Initiating a chargeback without first attempting to resolve the issue through TixNav may result in account termination. We reserve the right to dispute fraudulent chargebacks.

6. Event Organizer Terms

6.1 Organizer Responsibilities

As an event organizer, you agree to:

  • Provide accurate event information including date, time, location, and description
  • Honor all tickets sold through TixNav
  • Comply with all applicable laws and obtain necessary permits
  • Maintain appropriate insurance for your events
  • Communicate event changes promptly to ticket holders
  • Handle refund requests in accordance with your stated policy

6.2 Fees and Payouts

TixNav charges a service fee of 3.5% + $0.99 per paid ticket sold. Free events have no fees. Payouts are processed through Stripe to your connected bank account. You are responsible for any taxes on revenue earned.

6.3 Event Content

You are solely responsible for all content related to your events. You represent that your events do not violate any laws or third-party rights. We reserve the right to remove events that violate these Terms.

6.4 Attendee Data

You receive attendee information solely for event management purposes. You agree to handle this data in compliance with applicable privacy laws and not to sell or misuse attendee information.

7. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Post false, misleading, or fraudulent content
  • Resell tickets at prices above face value (scalping)
  • Use automated systems to access the Platform without permission
  • Attempt to circumvent security measures or ticket verification
  • Harass, abuse, or harm other users
  • Create fake events or engage in ticket fraud
  • Impersonate others or misrepresent your affiliation
  • Interfere with the proper functioning of the Platform
  • Use the Platform for illegal gambling or activities

8. Intellectual Property

8.1 TixNav Content

The Platform, including its design, features, content, and trademarks, is owned by TixNav and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8.2 User Content

You retain ownership of content you submit. By posting content, you grant TixNav a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with our services.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TixNav does not guarantee:

  • That events will occur as described or at all
  • The quality, safety, or legality of events
  • The accuracy of event information provided by organizers
  • Uninterrupted or error-free Platform operation
  • That tickets purchased will guarantee entry if event capacity is exceeded

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIXNAV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO TIXNAV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless TixNav, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Events you organize through the Platform

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@tixnav.com to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

12.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in Georgia, and the decision shall be final and binding.

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any legal proceedings shall be conducted in the courts of Georgia.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or Platform notice at least 30 days before taking effect. Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Platform.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and TixNav regarding the Platform.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
